These terms govern your use of instrumentedscience.com (the "Site") and describe how Instrumented Science, LLC ("we", "us", or "the Company") engages with clients for professional services.

Website Use

You may access and use this Site for lawful, informational purposes. You agree not to interfere with the Site's operation or attempt unauthorized access to any part of it.

Intellectual Property

The Instrumented Science name, logos, and all branding elements displayed on this Site are the property of Instrumented Science, LLC. Site content — including text, graphics, and code — is owned by or licensed to the Company unless otherwise noted. You may not reproduce, distribute, or create derivative works from Site materials without prior written permission.

Third-party trademarks, names, or logos that appear on this Site belong to their respective owners.

Professional Services

All consulting, software development, and technical engagements are governed by individually executed agreements between the Company and the client. No content on this Site constitutes an offer, warranty, or binding commitment regarding services.

Engagement Structure

Our standard engagement follows this sequence:

1. Non-Disclosure Agreement (NDA) — mutual confidentiality before any substantive discussion.
2. Proposal — scope, objectives, and commercial terms.
3. Master Services Agreement (MSA) — the governing contract for the engagement, executed in parallel with: Quality Agreement — standards for deliverables, validation, and acceptance criteria.
   Data Processing Agreement — handling, storage, retention, and return or deletion of client data.
   Discovery Statement of Work (SOW) — initial scoping, assessment, or proof-of-concept work.
4. Implementation SOW — full execution against defined deliverables and milestones.

Specific terms — including intellectual property ownership, deliverable specifications, payment, timelines, and termination — are defined in the applicable SOW and MSA. In the event of a conflict between this page and an executed agreement, the executed agreement controls.

Intellectual Property in Engagements

Unless an executed agreement states otherwise: client-funded deliverables are owned by the client upon full payment, and the Company retains ownership of its pre-existing tools, methods, and general-purpose libraries. Where pre-existing IP is incorporated into a deliverable, the client receives a non-exclusive, perpetual license to use it within the scope of the engagement.

Confidentiality

We treat all client information as confidential. Specific confidentiality obligations are defined in the NDA and MSA governing each engagement.

Limitation of Liability

Liability related to professional services is governed by the applicable MSA.
